Administrative Board

The administrative board (AB) bears ultimate responsibility for the success of Genesis and for achieving ongoing value for the shareholders, both through the use of prudent and effective means. On the advice of the Chief Executive Officer, it decides on the strategic objectives of the Genesis group and on the necessary financial and personnel resources required to achieve these objectives. Furthermore, it determines the values and standards of the group and ensures that its obligations to shareholders and other stakeholders are observed.

Every member of the AB is elected by the administrative board itself. The AB appoints its president, one or more vice presidents and the chairmen and members of any committees. The current administrative board of Genesis Invest AG is constituted of the following members:

The administrative board president (AB-P) is the president of the administrative board (AB) of Genesis Invest AG in accordance with the legal requirements of the Swiss corporation. The AB-P is primus inter pares; his powers are equal to those of every other AB member, although he has the casting vote in the case of a ballot (art. 713m, par. 1 OR). He is elected by the AB itself unless the statues assign the election of the AB-P to the general meeting. In common with the other AB members, he is elected for three years or for another term of office determined by the statutes (art. 710, par. 1 OR).
