Corporate Governance
For Genesis, corporate governance is a fundamental component of corporate policy. Transparency and clear responsibilities are the mainstays of the corporate governance principles. Here, Genesis is fully compliant with the guidelines and standards of Deutsche Börse AG and the Swiss code of obligations.
However, corporate governance can also be understood as the entirety of all international and national rules, regulations, values and principles that are applicable to Genesis and determine how the company is managed and controlled.
Objectives of the Genesis Corporate Governance:
• Ensuring functional corporate management • Protecting the interests of various external groups • Targeted co-operation of the coporate management and controlling • Transparency in coporate communication • Appropriate handling of risks • All management decisions are geared towards long-term value added
Here, corporate governance has many levels and includes both compulsory and voluntary measures: adherence to laws and regulations (compliance), observance of recognised best practice standards and recommendations as well as constant development and observance of internal corporate guidelines. Another aspect of the Genesis corporate governance is the ongoing formation and implementation of management and control structures.
Our corporate governance guarantees management that is responsible, qualified, transparent and geared towards long-term success and should therefore serve the company itself, its owners and also external stakeholders (investors, sales and buying markets, society and its citizens).
In terms of sustainability, the term governance is also used at Genesis to mean the use of resources and the infrastructure of network industries (water governance, infrastructure governance, energy governance etc).
